Image Selections:

• Zavier grants a maximum of 2–3 retouched edits per outfit change for collaborations.

• Additional edits may be purchased for a fee.

• Both Zavier and the Model may select their own preferred images independently without requiring the other party’s approval, acknowledging that creative preferences may differ.

Retouching:

• The Model may apply personal retouching to Zavier’s edits.

• Zavier will retain his original versions, and the Model’s edited versions will not be used by Zavier.

• Both parties may keep and use their own versions for creative expression.

Credit Requirement

All collaborators must be credited when posting photos or videos.

• Proper crediting benefits all parties and is mandatory.

Videos / Video Reel

• Zavier invests significant time and skill in creating videos and selecting music.

• Models may add their own music overlay; however, Zavier retains the original version.

• Once a video is published on YouTube or other platforms, it cannot be removed.

• Both parties may keep and use their respective versions for personal and promotional purposes.

Content Removal Request & Compensation

If the Model or Client requests the removal of any photos or videos that were originally agreed upon or requested after the Photographer has completed the shoot and delivered the content, the requesting party must pay the original value of the shoot for the time, work, and resources invested.

• The standard value is $550 for two outfit changes unless otherwise specified in writing.

• Payment must be received in full before any removal action is taken.

• This fee compensates the Photographer for time, effort, and potential lost future earnings.

Ownership and Copyright

Ownership and copyrights of all photos, videos, and related content (“Content”) created during the collaboration shall be equally shared, with 50% ownership belonging to the Photographer and 50% ownership belonging to the Model.

• All rights are shared equally between the Photographer and Model.

• This release is binding on the heirs, legal representatives, and assigns of the Model.

• It is irrevocable, worldwide, perpetual, and governed by the laws closest to the Model’s address (New York, Alberta, England, Australia, or New Zealand).

Grant of Rights

In consideration of the value received, the Model irrevocably grants the Photographer the perpetual, worldwide, transferable right to license, reproduce, distribute, display, and otherwise use the Content in all forms of media, whether now known or later developed, for any lawful purpose excluding pornographic or defamatory uses.

Authorized uses include, but are not limited to:

• Advertising, marketing, and promotional activities

• Commercial campaigns and product launches

• Social media platforms (Instagram, TikTok, YouTube, etc.)

• Coffee table books, prints, and artistic projects

• YouTube productions, educational content, and video reels

The Photographer may modify, edit, or alter the Content at their sole discretion, provided such modifications are not defamatory or unlawful.

Publication of Ethnicity

The Model consents to the publication of their ethnicity for descriptive purposes only.

• Personal information will not be publicly disclosed but may be shared for licensing purposes.

• Information may be transferred to countries with varying data protection laws.

Non-Disparagement

The Model agrees not to disparage, defame, or make negative, false, or misleading statements — verbally, in writing, or online — about Zavier, his company, employees, contractors, or services.

• This includes, but is not limited to, social media posts, reviews, blogs, and public statements.

• Exceptions: Factual statements required by law, government authorities, or court orders.

Dispute Resolution

To avoid costly litigation, the Parties agree to resolve disputes through mediation and arbitration:

1. Good-Faith Negotiation – Parties will first attempt to resolve disputes through direct communication.

2. Mediation – If unresolved, disputes must go to mediation with a mutually agreed mediator.

3. Arbitration – If mediation fails, disputes will be resolved by binding arbitration in [County, State] under the rules of the American Arbitration Association (AAA).

4. Waiver of Jury Trial – Both Parties waive their right to a trial by jury in any dispute relating to this Agreement.

5. Governing Law – This Agreement will be governed by and interpreted under the laws of [Your State].

Waiver of Claims

The Model waives all rights to sue the Photographer for claims arising from this collaboration, except in cases of gross negligence or willful misconduct.

Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or discussions.
No amendment shall be valid unless made in writing and signed by both Parties.
